Where On completion and full payment of all associated fees for their web development work, Morph PR andMarketing will grant a non-exclusive royalty-free worldwide licence to the Customer to use the company materials in connection with the website – unless otherwise specificed in a written agreement made prior to the work being carried out. This balanced approach ensures that the Customer is free to use the web development for their own purposes free of royalty charges but they are not entitled to ‘sell on’ or assign rights to third parties in respect of the website code without the prior written consent of Morph PRand Marketing.

Once a web design has been approved or accepted then Morph will commence development of the website to that design. Any design changes that are requested once development has begun will incur separate and additional development fees to any fees agreed at the outset of the project in line with the additional work required to develop any newly agreed design.
website design and development – testing, approval and going live
Unless otherwise covered in a specific agreement covering User Testing, Morph will undertake user experience testing in collaboration with the client prior to launch in order to identify any issues that need to be remedied. Completion of final agreed payments to Morph confirms the client’s satisfaction that the agreed design and build and enables the site to ‘go live’. Any approval by the client for the site to ‘go live’ also confirms their satisfaction that the agreed website design and build is satisfactorily concluded. Certain website functions can only be effectively tested by the Client themselves such as receipt of contact form notifications to the preferred mailbox and clicks to the preferred telephone number. It is the Client’s responsibility to test those prior to launch so that they are happy that these operate as required. Any issues with these should be raised with Morph prior to launch so that they can be investigated and remedied. Morph accepts no liability for any losses associated with contact forms or telephone calls not being received by the client from the website post-launch. In addition, Morph will not warrant that any website they design and build will store or keep contact form submissions. It is for the Client to direct Morph in this regard as required and any associated costs may be additional.

Some monthly marketing or web support packages will be subject to an agreed minimum term – which will have been agreed in writing or by way of email. Any requests for termination of such an agreement within the agreed minimum term will be subject to payment of the full costs of the agreed minimum period. Any requests for termination of such an agreement after the minimum term will require one full month’s notice in writing.
